Welcome to Carver's USA Regulatory Updates for September 13, 2026.
The United States Securities and Exchange Commission, or S-E-C, announced sanctions against Independent Financial Group, L-L-C. The S-E-C found that the company willfully violated Section 13(f)(1) of the Exchange Act and Rule 13f-1 by failing to file quarterly Forms 13F from December 31, 2021 through December 31, 2025. As a result, the S-E-C imposed a cease-and-desist order, a censure, and a civil penalty of $500,000. Independent Financial Group, L-L-C must pay the penalty within 30 days and comply with all future Form 13F filing obligations. Timely filing of these forms is critical for market transparency and regulatory oversight of institutional investment managers.
In public health news, Made Fresh Salads, Inc. is recalling all Ready to Eat Deli Style Salads and cream cheese products distributed in New York City boroughs. The recall covers products with expiration dates from September 3 through September 18, 2026. This action follows concerns about contamination with Listeria monocytogenes, which can cause serious and sometimes fatal infections, especially in vulnerable populations. Made Fresh Salads, Inc. has ceased production and distribution of the affected products and advises consumers to return recalled items for a full refund. The U.S. Food and Drug Administration and the company continue to investigate the source of contamination.
The U.S. Food and Drug Administration issued guidance for immediate implementation regarding the compounding of certain starter parenteral nutrition drug products for neonates. This guidance outlines regulatory and enforcement priorities for outsourcing facilities, State-licensed pharmacies, and Federal facilities not registered as outsourcing facilities. Facilities must comply with the FDA’s temporary policies for compounding these neonatal nutrition products.
The Federal Trade Commission, or F-T-C, filed a complaint on September 8, 2026, against Humboldt Merchant Services. The complaint seeks a permanent injunction and other relief, alleging that Humboldt knowingly processed payments for fraudulent shell merchant accounts and failed in underwriting and risk management. Subsequently, Humboldt Merchant Services agreed to a $12 million settlement and is permanently banned from processing payments for merchants with heightened fraud risk. This enforcement action highlights the importance of robust due diligence and compliance with the F-T-C Act Section 5(a), which prohibits unfair or deceptive acts.
The Federal Deposit Insurance Corporation, or F-D-I-C, issued an interim final rule increasing the asset threshold for small insured depository institutions eligible for an 18-month on-site examination cycle. The threshold has been raised from $3 billion to $6 billion in total assets. To qualify, institutions must be well capitalized, well managed with an outstanding or good composite condition rating, and not subject to formal enforcement actions. This rule applies immediately upon publication.
In environmental regulatory news, the United States Environmental Protection Agency, or E-P-A, proposed to approve Wisconsin’s Coal Combustion Residuals landfill permit program. This approval would allow Wisconsin to conduct state-level permitting and oversight of coal ash landfills, while the E-P-A retains regulation of surface impoundments. A public comment period of 60 days is open, with a virtual hearing scheduled for November 9, 2026.
