Regulatory news, updates, and insights for USA presented by the Carver Agents team

Welcome to Carver's USA Regulatory Updates.

The United States continues to strengthen enforcement against financial fraud and consumer protection violations. A financial adviser was sentenced to over seven years in federal prison for wire fraud involving nearly $10 million stolen from an elderly client. This case highlights the serious legal consequences for fiduciaries who exploit vulnerable individuals and underscores the importance of maintaining fiduciary duties, transparency, and proper authorization in client asset management.

In consumer safety news, A&P Creations LLC has issued a nationwide recall of biQ-FEL supplement bottles after the U.S. Food and Drug Administration laboratory analysis detected undeclared sildenafil and tadalafil. These prescription drugs pose serious health risks, especially for consumers taking nitrates, due to potential dangerous blood pressure drops. The company has been instructed to cease distribution immediately, notify customers and marketplaces, and advise consumers to stop use and destroy the product.

Similarly, the FDA has identified that the dietary supplement Beauty 911 contains sibutramine, a controlled substance previously removed from the market for safety reasons. The FDA warns consumers not to purchase or use Beauty 911 due to risks including increased blood pressure and heart rate, particularly for individuals with cardiovascular conditions. Health professionals and consumers are encouraged to report adverse events related to this product to the FDA’s MedWatch program.

In regulatory enforcement actions, the U.S. Securities and Exchange Commission has initiated administrative proceedings under Section 12(j) of the Securities Exchange Act of 1934 against two companies. Fomo Worldwide, Inc. failed to file required periodic reports since March 31, 2024, while First Capital International, Inc. has not filed required reports since December 31, 2023. Both respondents must file an Answer within 10 days of service of the Order and participate in a prehearing conference within 14 days, complying with electronic filing and service requirements as per SEC Rules of Practice. These actions emphasize the SEC’s commitment to market transparency and investor protection.

In a significant consumer protection settlement, FleetCor Technologies, Inc. and its Chief Executive Officer agreed to pay $100 million to resolve a Federal Trade Commission administrative action. The FTC found that FleetCor violated the FTC Act by charging unauthorized fees and making deceptive claims about fuel card savings and fees. FleetCor is permanently enjoined from charging fees without express informed consent and from making deceptive claims. The settlement reinforces the obligation to obtain clear consent and provide transparent disclosures to small business customers.

On the technology front, the United Nations human rights chief has called for stronger government regulation of artificial intelligence, emphasizing the need for incident reporting, AI capability verification, and human rights due diligence by AI companies. This call for multilateral cooperation aims to prevent existential risks posed by unchecked AI development and to avoid a regulatory race to the bottom.

Additionally, at the Solana Policy Institute Summit, regulators introduced proposed Regulation Crypto Assets, aiming to modernize transfer agent rules and develop a crypto custody framework for investment advisers and funds. The new rules will define covered investment contracts, provide legal certainty for crypto entrepreneurs and investors, and allow advisers to custody crypto assets or use state trust companies under specified conditions. This initiative supports innovation while enhancing investor protection under U.S. law.
